The UK Department of Energy and Climate Change (DECC) announced yesterday
that the Secretary of State is not willing to provide a comfort letter for
the change of control on the UK business of RWE Dea. Based on the
agreements entered into with LetterOne-Group in January, the decision by
DECC does not affect the completion of the transaction on March 2, 2015.
These agreements provide for a transfer of the entire RWE Dea group
including the UK business. Only if the EU or the US impose sanctions on
LetterOne or its owners prior to the first anniversary of the completion,
RWE will have to re-acquire the UK business.
